Agreement to these terms

These Terms of Use (“Terms”) govern your access to and use of reserve-roadster.us (the “Site”), operated by RD Motors, Inc. (“we”, “us”). By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Eligibility

You must be at least 18 years old and able to form a binding contract to submit a reservation request. The Site is intended for residents of the United States; information about availability elsewhere may be incomplete.

Product information and pricing

The vehicle shown on the Site is a pre-production model. Specifications, performance figures, features, colors, options, prices, delivery dates and availability are preliminary estimates, may change without notice and may differ from production vehicles. Illustrations are stylized and not to scale.

Prices shown are estimated manufacturer’s suggested retail prices in US dollars and exclude destination charges, taxes, title, registration, licensing, dealer fees and any optional equipment not shown. Performance figures were achieved by professional drivers on closed courses. Always obey traffic laws and drive responsibly.

Nothing on the Site is an offer to sell a vehicle. We may correct errors in content or pricing at any time.

Reservation requests

Submitting the reservation form is an expression of interest only. It does not create a purchase agreement, guarantee a production slot, price or delivery date, or oblige you to buy anything. No payment is taken through the Site.

If you choose to proceed, we will contact you to confirm your build and explain the separate reservation agreement and deposit terms, which you will receive in writing before paying anything. Unless that agreement says otherwise, the deposit is fully refundable until you sign a purchase agreement. Vehicle sales are completed through authorized dealers or as permitted by the laws of your state.

Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in breach of these Terms;
• submit false, misleading or someone else’s information;
• attempt to gain unauthorized access to, interfere with or disrupt the Site, its servers or networks;
• scrape, crawl or harvest content or data by automated means without our written permission;
• introduce viruses, malware or other harmful code;
• copy, frame or mirror the Site, or use it to build a competing product.

Intellectual property

The Site and its content — including text, illustrations, graphics, the vehicle design, logos, names and software — are owned by us or our licensors and protected by copyright, trademark, design and other laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site for personal, non-commercial use. All other rights are reserved. Fonts are used under the SIL Open Font License.

If you send us ideas or feedback, you agree we may use them without obligation to you.

Third-party links

The Site may link to third-party websites. We are not responsible for their content, policies or practices, and a link does not mean we endorse them.

Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS. Any vehicle warranty will be provided only in the written warranty delivered with a vehicle.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow these limitations, so they may not apply to you in full. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to indemnify and hold us harmless from any claims, losses and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of the Site.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by applicable US federal law. You and we agree that disputes arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction, except that either party may bring an individual claim in small-claims court. If you are a consumer, nothing in this section removes rights you have under the mandatory laws of your state of residence.

Changes and termination

We may change these Terms at any time by posting the updated version with a new “Last updated” date. Continued use of the Site after changes means you accept them. We may suspend or end access to the Site at any time, for any reason. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver.
